Welcome to the website located at https://www.thealchemistsanctuary.com (the "Website"), operated by The Alchemist's Sanctuary™, a sole proprietorship (Enkeltmandsvirksomhed) duly registered in the Kingdom of Denmark under Central Business Register CVR/VAT: DK40801448, operating from Copenhagen, Denmark within the EU VAT zone (the "Company," "we," "us," or "our"). These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you," "your," "User," or "Customer") and the Company, governing your access to, use of, and participation in the services, features, content, and functionalities made available through the Website (collectively, the "Services").

The Alchemist's Sanctuary™ is an established creative brand name and identity in continuous use since 2016 across digital, social, and publishing platforms. The name, logo, and related creative assets constitute protected intellectual property under Danish and international copyright and unfair competition law. The domain thealchemistsanctuary.com is officially registered and forms part of the business's intellectual property portfolio, along with verified social media accounts (Facebook, Instagram, Pinterest, LinkedIn, YouTube, TikTok). These collectively represent the official brand presence. The Alchemist's Sanctuary™ covers current and future creative activities, including fine art prints, publishing, digital media, homeware, fashion, and other derivative works produced under the same trade identity.

By accessing the Website, creating an account, placing an order, or otherwise utilizing the Services, you represent that you have read, understood, and unconditionally agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, Shipping Policy, and Returns & Refunds Policy (each as may be updated from time to time, and collectively, the "Policies"), which are incorporated herein by reference. If you do not agree with these Terms or any incorporated Policies, you must immediately cease all use of the Website and Services.

These Terms form a contract under Danish law, and your continued use thereof shall constitute your affirmative acceptance of any revisions thereto. We reserve the right to modify, suspend, or terminate access to the Services at our sole discretion, with or without notice, for any reason, including but not limited to violations of these Terms. All AI tools are used solely to assist with restoration, research, and communication. Final artworks remain human-directed and original. No customer data or artwork is ever used for AI training, resale, or data-sharing purposes.

Article 1: Definitions and Interpretation

For the purposes of these Terms, the following capitalized terms shall have the meanings ascribed to them below. Unless the context otherwise requires, references to the singular include the plural and vice versa, and references to any gender include all genders. Headings are for convenience only and do not affect interpretation.

1.1 Key Defined Terms

  • "Company" or "we/us/our": The Alchemist's Sanctuary™, a sole proprietorship registered under CVR/VAT: DK40801448, operating from Copenhagen, Denmark.
  • "User" or "you/your/Customer": Any natural person, entity, or representative accessing, browsing, or transacting via the Website or Services.
  • "Website": The domain https://www.thealchemistsanctuary.com, including all subpages, applications, and digital interfaces operated by the Company.
  • "Services": The e-commerce functionalities provided through the Website, encompassing product browsing, account management, order placement, payment processing, and customer support.
  • "Products": Custom-made, print-on-demand art reproductions curated from historical archives and museum collections, carefully restored, curated, and remastered by The Alchemist's Sanctuary™. These works are distributed under Creative Commons CC0 (No Rights Reserved) licenses where applicable. Such Products are produced on museum-quality matte paper (250gsm), sold unframed, and fulfilled via trusted global print partners.
  • "Order": A binding purchase request submitted by you for one or more Products, confirmed upon issuance of an electronic order acknowledgment.
  • "Third-Party Service Providers": Independent entities engaged by the Company, including but not limited to Shopify, PayPal, Klaviyo, Meta, Pinterest, TikTok, LinkedIn, Google (YouTube), GoDaddy, and carrier/logistics partners.
  • "Policies": The Privacy Policy, Cookie Policy, Shipping Policy, Returns & Refunds Policy, and any other legal documents referenced herein.
  • "Intellectual Property" or "IP": All copyrights, trademarks, patents, trade secrets, moral rights, and other proprietary rights recognized under applicable laws.

1.2 Interpretation

In the event of any conflict between these Terms and the Policies, the Policies shall prevail with respect to their specific subject matter. Any ambiguities shall be interpreted in favor of protecting the Company's legitimate interests, consistent with applicable consumer protection laws.

Article 2: Eligibility and Capacity

To access the Website or utilize the Services, you must:

  • Be at least eighteen (18) years of age or the age of majority in your jurisdiction of residence, whichever is greater;
  • Possess the full legal capacity to enter into binding contracts; and
  • Not be barred from using the Services under applicable law or these Terms.

By using the Services, you warrant and represent that you meet these eligibility criteria. Minors are expressly prohibited from placing Orders or creating accounts. Consumers within the European Union retain mandatory protections under Directive 2011/83/EU (Consumer Rights Directive), notwithstanding these eligibility requirements.

Article 3: User Accounts and Responsibilities

3.1 Account Creation and Security

Certain features of the Services, such as order tracking or wishlist management, require the creation of a user account. You agree to provide accurate, complete, and current information during registration and to promptly update such information as necessary. You are solely responsible for safeguarding your account credentials (including passwords) and for all activities conducted thereunder.

3.2 User Obligations

You covenant not to:

  • Share your account with any third party or permit unauthorized access;
  • Impersonate any person or entity, or misrepresent your affiliation with the Company;
  • Use the account for any unlawful purpose or in violation of these Terms; or
  • Fail to notify us immediately at support@thealchemistsanctuary.com of any suspected unauthorized use, security breach, or compromise.

3.3 Account Suspension or Termination

The Company reserves the right, at its sole discretion, to suspend, restrict, or terminate your account and access to the Services without prior notice or liability if we reasonably suspect fraudulent activity, abuse, non-compliance with these Terms, or threats to the security or integrity of the Website. Upon termination, all accrued rights and obligations shall survive as provided herein.

Article 4: Orders, Payments, and Contract Formation

4.1 Order Placement and Acceptance

All Orders are subject to acceptance by the Company. A legally binding contract for the sale of Products shall form only upon your receipt of an electronic order confirmation email from us (the "Confirmation"). Prior to issuance of the Confirmation, we reserve the unqualified right to refuse, cancel, or limit any Order for any reason, including but not limited to pricing inaccuracies, product availability constraints, suspected fraud, or compliance with export controls.

4.2 Pricing and Taxes

Free worldwide shipping. Checkout in EUR; prices shown in your local currency. EU prices include VAT; outside the EU, local taxes or import duties may apply on delivery (payable by the recipient). Prices are subject to change without notice, but confirmed Orders are honoured at the prevailing rate.

4.3 Payment Processing

Payments are processed securely via Shopify Payments or integrated third-party gateways, in compliance with Payment Card Industry Data Security Standard (PCI-DSS). The Company does not store, access, or process your full payment details; such information is handled exclusively by our Third-Party Service Providers. You authorize us to charge your designated payment method upon Confirmation and agree to bear any currency conversion fees imposed by your financial institution.

4.4 Order Modifications

You may request cancellation within twenty-four (24) hours of Order placement and prior to production commencement. Cancellations must be within 24 hours AND before production begins. As Products are made-to-order, no further amendments or cancellations are possible once production has begun.

Article 5: Fulfillment and Delivery

5.1 Third-Party Fulfillment

All Products are manufactured on-demand and fulfilled exclusively by our trusted global print partners in accordance with data processing agreements compliant with Article 28 of the General Data Protection Regulation (EU) 2016/679 ("GDPR"). Orders are automatically routed to the geographically proximate production facility to minimize carbon emissions, optimize transit efficiency, and align with sustainability imperatives. All prints are made to order using FSC®-certified, museum-quality matte paper (250gsm). Prints are shipped unframed to reduce waste and encourage reuse or recycled framing. Packaging is kept simple, made from recyclable materials, and avoids unnecessary plastics. Customers are encouraged to reuse or recycle all packaging components. Orders are produced and shipped locally through reliable print and delivery partners to reduce emissions.

5.2 Estimated Timelines

Production timelines are estimates only: Production 2–4 days (3–7 possible). Post-production delivery estimates: EU/UK 3–7 days · US/CA 5–10 days · Rest 7–15 days. No express shipping available. Business days exclude weekends, Danish public holidays, and Fulfillment Partner closures. Delays may arise from order volume, material availability, or technical anomalies, none of which shall constitute a breach of contract. We shall notify you of material deviations via email where practicable. These timelines do not guarantee delivery by a specific date. Delays occasioned by customs processing, carrier congestion, seasonal peaks, adverse weather, or force majeure events are expressly excluded from our control.

Article 6: Shipping and Tracking

6.1 Carrier Selection

Shipments are entrusted to reputable logistics providers within the Fulfilment Partner's network (e.g., PostNord, DHL, or local equivalents). Carrier selection and routing are managed collaboratively between the Fulfilment Partner and the Company to ensure optimal balance between cost, speed, and reliability. You consent to such routing and acknowledge that shipping methods may vary by destination, availability, or carrier capacity. The Company and its Fulfilment Partners shall not be held liable for delays or disruptions arising from customs clearance, local carrier handling, or force majeure circumstances beyond reasonable control. Delivery to your nearest parcel shop / collection point.

6.2 Tracking Provision

Upon dispatch, the Fulfillment Partner shall generate a unique tracking identifier, which we shall furnish to you via automated email notification, including the carrier's portal link for real-time status updates. If tracking information is not received within five (5) business days of Order placement, promptly contact support@thealchemistsanctuary.com with your Order reference.

Article 7: Returns, Refunds, and Remedies

7.1 Eligibility for Returns or Refunds

Returns, refunds, or replacements are permissible solely in qualifying scenarios such as material damage, defects, incorrect items, or significant production errors, subject to verification. Change of mind is not eligible due to the made-to-order nature. Report within 14 days.

7.2 Processing Refunds

Approved refunds shall be processed and credited to the original payment method within seven (7) to ten (10) business days of claim validation. Refunds are issued to the original payment method within 7–10 business days. Refunds may be prorated and exclude shipping unless due to Company error.

7.3 Resolution Mechanisms

Upon validation, remedies include full refund (exclusive of shipping and taxes), replacement at no additional cost, or store credit. The chosen remedy considers the issue's severity and feasibility. For lost or delayed shipments, report within 14 days of dispatch; investigations lead to replacement or refund where liability is established.

Article 8: Intellectual Property Rights

8.1 Ownership and Scope

The Company asserts exclusive ownership and proprietary rights over all original content on the Website, including curatorial selections, digital restorations, product descriptions, branding (trademark The Alchemist's Sanctuary™), and graphical interfaces, safeguarded under the Danish Copyright Act, Berne Convention, and EU Trade Mark Regulation. Verified social media accounts (Facebook, Instagram, Pinterest, LinkedIn, YouTube, TikTok) form part of the Company's intellectual property portfolio and brand assets.

8.2 Permitted Use

You are granted a limited, revocable, non-exclusive, non-transferable license to access and view the Website and Products for personal, non-commercial purposes. Reproduction, distribution, public display, adaptation, or commercialization of any IP without our prior written consent is strictly prohibited.

8.3 Infringement and Remedies

You agree not to infringe, challenge, or dilute the Company's IP. Unauthorized use may result in immediate termination of access, injunctive relief, damages (including statutory and punitive), and recovery of legal fees. We respect third-party IP and reserve the right to remove allegedly infringing content upon notice. Article 9: Prohibited Conduct and Acceptable Use

You covenant and agree that, in connection with your use of the Services, you shall not:

  • Deploy any automated tools, scripts, bots, spiders, or scrapers to access, extract, or monitor data from the Website without express prior authorization;
  • Attempt to reverse-engineer, decompile, disassemble, or derive the source code or underlying algorithms of the Services;
  • Introduce, upload, or transmit any viruses, Trojan horses, worms, malware, or other harmful code;
  • Interfere with, disrupt, or overburden the Website's servers, networks, or security measures (e.g., via denial-of-service attacks);
  • Engage in any illegal, fraudulent, defamatory, obscene, or harassing conduct;
  • Harvest or collect personal data from other Users without consent; or
  • Circumvent, disable, or otherwise impair any access controls or usage limitations.

Violations may trigger account termination, reporting to authorities, and pursuit of all available legal remedies, including under the Danish Marketing Practices Act and EU Digital Services Act.

Article 10: Third-Party Services and Links

10.1 Integration with Third Parties

The Services incorporate functionalities from Third-Party Service Providers (e.g., Shopify for hosting and payments), whose operations are governed by their respective terms and privacy policies. Your use of such integrations constitutes your acceptance of those third-party terms.

10.2 Disclaimers

The Company exercises no control over Third-Party Service Providers and disclaims all liability for their acts, omissions, data practices, service interruptions, or performance deficiencies. Links to external sites are provided for convenience only; we do not endorse them and bear no responsibility for their content, accuracy, or security.

Article 11: Data Protection and Privacy

The Company is committed to safeguarding your personal data in strict compliance with the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the Danish Data Protection Act, and other pertinent privacy legislation. Detailed disclosures regarding data collection, processing, retention, and your rights (e.g., access, rectification, erasure) are set forth in our Privacy Policy and Cookie Policy, accessible via the Website footer. By using the Services, you consent to such practices and agree to comply with applicable data protection laws in your interactions with us. Article 12: Limitation of Liability

12.1 Scope of Liability

To the fullest extent permitted by law, including Section 5 of the Danish Sale of Goods Act and Article 7 of Directive 2019/771 (as implemented), the Company, its affiliates, officers, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, revenue, data, goodwill, or business opportunities, arising from or relating to your use of the Services, Products, or these Terms—whether in contract, tort (including negligence), strict liability, or otherwise.

12.2 Direct Liability Cap

Our aggregate liability under these Terms, for any claim whatsoever, shall in no event exceed the total amount paid by you for the specific Product(s) or Service(s) giving rise to the claim, or one hundred Euros (EUR 100), whichever is lesser.

12.3 Exclusions

We disclaim liability for interruptions in Service availability, third-party failures (e.g., carrier delays), or force majeure events. These limitations apply notwithstanding any failure of essential purpose of any exclusive remedy.

Article 13: Indemnification

You hereby agree to indemnify, defend (at your expense, with competent counsel approved by us), and hold harmless the Company, its owner, affiliates, Third-Party Service Providers, directors, employees, and agents (each an "Indemnified Party") from and against any and all claims, actions, proceedings, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your violation or alleged violation of these Terms, the Policies, or applicable law;
  • Your misuse of the Services or Products;
  • Your infringement of any third-party rights, including IP, privacy, or publicity rights; or
  • Any User Content (if applicable) submitted by you.

This indemnification obligation shall survive termination of these Terms.

Article 14: Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, cyber attack, pandemics, natural disasters, war, terrorism, civil unrest, strikes, labor disputes, supply shortages, governmental restrictions, internet outages, or Third-Party Service Provider failures (each a "Force Majeure Event").

The affected party's obligations shall be suspended during the Force Majeure Event, provided prompt notice is given. We shall use commercially reasonable efforts to mitigate impacts and resume performance. If the event persists for more than thirty (30) days, either party may terminate the affected Order(s) without liability, subject to pro-rata refunds for undelivered Products.

Article 15: Governing Law, Jurisdiction, and Dispute Resolution

15.1 Governing Law

These Terms and any disputes arising therefrom shall be governed by, construed, and interpreted exclusively in accordance with the substantive laws of the Kingdom of Denmark, without regard to its conflict of laws principles or the UN Convention on Contracts for the International Sale of Goods (CISG).

15.2 Dispute Resolution

We encourage amicable resolution of disputes. You agree to notify us in writing of any claim within thirty (30) days of its accrual, providing sufficient detail for investigation. Failing resolution, all disputes shall be submitted to the exclusive jurisdiction of the competent courts in Copenhagen, Denmark.

15.3 Consumer Protections

Nothing in this Article 15 derogates from your mandatory rights as a consumer under applicable EU law, including access to the European Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. EU residents may enforce rights in their country of residence where superior protections apply.

Article 16: Amendments to These Terms

The Company reserves the right to amend these Terms at any time to reflect changes in operations, legal requirements, or technological developments. Revised Terms shall be posted on the Website with an updated Effective Date. Material changes may also be notified via email or conspicuous Website banners.

Your continued use of the Services following such posting shall constitute your binding acceptance of the amendments. It is your responsibility to review these Terms periodically.

Article 17: Entire Agreement and Severability

These Terms, together with the incorporated Policies, embody the entire understanding and agreement between you and the Company concerning the subject matter hereof and supersede all prior or contemporaneous proposals, negotiations, representations, warranties, or agreements, whether oral or written.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect. No waiver of any breach shall constitute a waiver of any subsequent breach.
